Split Payment Terms and Conditions (T&C)
Effective Date: August 25, 2025
These Terms and Conditions govern all purchases made through our Split Payment Program ("Program"). By selecting the split payment option and submitting your initial payment, you ("Customer") agree to be bound by these T&Cs and the full purchase agreement with AmpX eWheels.
1. The Split Payment Program
The Program allows the Customer to split the total purchase price of the goods or services ("Product") into two (2) separate payments: an Initial Payment (Down Payment) and a Final Payment (Remaining Balance).

2. Payment Schedule and Due Date
A. Initial Payment: The 70% down payment is non-refundable, except as specifically outlined in Section 5 (Cancellation and Refunds).
B. Final Payment Due Date: The remaining 30% balance is strictly due on or before 21 calendar days from the Initial Payment Date ("Payment Due Date").
C. Payment Method: The Customer authorizes AmpX eWheels to use the payment method provided at the time of the initial payment to automatically charge the Final Payment on the Payment Due Date. The Customer is responsible for ensuring the payment method is valid and has sufficient funds.
3. Order Fulfillment and Delivery
The Product will be shipped to the Customer after the Initial Payment (70% down payment) has been successfully processed.
Any delivery or shipping timelines provided are estimates. The Customer understands that failure to pay the Final Payment (30% balance) will result in Default and Debt Collection procedures as outlined in Section 4.
4. Default and Debt Collection
4.1. Definition of Default
A "Default" occurs if: a) The Final Payment (30% balance) is not received by AmpX eWheels on or before the Payment Due Date. b) The payment method used for the Final Payment is declined, reversed, or otherwise fails, and the Customer fails to cure the deficiency within a 7-day grace period.
4.2. Consequences of Default
Upon Default, AmpX eWheels reserves the right to pursue any and all legal remedies available, including but not limited to:

Order Cancellation: The order will be immediately cancelled.

Forfeiture of Initial Payment (Liquidated Damages): The Customer forfeits the Initial Payment (70% down payment) as reasonable liquidated damages to cover costs, including but not limited to, inventory allocation, lost sales opportunities, processing fees, and administrative costs. The Initial Payment is non-refundable in the event of Default.

Late Fees/Interest: The Customer will be charged a late fee equivalent to the maximum amount permitted by Minnesota law, applied after the 7-day grace period has elapsed.

Debt Collection: The remaining 30% balance will become immediately due and payable. We reserve the right to engage a third-party debt collection agency and/or initiate legal action to recover the outstanding balance plus any accrued fees, interest, and collection costs.
5. Cancellation and Refunds
5.1. Customer Cancellation Before Payment Due Date
If the Customer cancels the order before the Payment Due Date and is not in Default, the Initial Payment (70%) is Non-Refundable.
5.2. Post-Default Cancellation (Forfeiture)
As noted in Section 4.2, in the event of a Default, the order is cancelled, and the Initial Payment (70%) is forfeited by the Customer as liquidated damages. No refunds will be issued for the Initial Payment after a Default.
6. Required Customer Information for Legal Enforcement
The Customer acknowledges and agrees that the following personal and identification information is required as part of this contract and may be used for the purposes of verification, collection, and legal action in the event of a Default:
- Full Legal Name (First, Middle, Last)
- Current Physical/Mailing Address
- Primary Phone Number
- Primary Email Address
- Date of Birth (DOB)
The Customer affirms that all information provided is true, accurate, and complete.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota and the federal laws of the United States. The Customer agrees that any disputes arising from this agreement will be exclusively heard in the courts located in Hennepin County, Minnesota.
